This Risk Disclosure supplements our Terms of Service and Privacy Policy. Read it before you rely on anything the Service shows you. If anything here conflicts with the Terms of Service, the Terms of Service control on matters of contract (license, billing, liability caps, arbitration); this page controls on matters of investment risk.
Nothing on leadrlabs.com, and nothing generated by the Service — including a Confluence grade, a screener result, a scored index, a sector-rotation read, a Trade Builder output, a journal analytic, an alert, or any AI-generated narrative or summary — is investment advice, a research report, a recommendation to buy, sell, or hold any security, or a solicitation of any kind. The Service surfaces patterns in data. It does not know your financial situation, your risk tolerance, your time horizon, your tax position, or your goals, and it does not attempt to.
Trade Builder's stop, target, and position-size outputs are a planning aid calculated from numbers you enter (account size, risk percentage). They are arithmetic on your inputs, not a sizing recommendation, and not a statement that any particular trade is suitable for you.
Ignacius Holdings LLC is not a registered investment adviser, broker-dealer, futures commission merchant, commodity trading advisor, or financial planner under U.S. federal or state law, or any equivalent regime elsewhere. We do not manage money, hold custody of assets, execute trades, or act in a fiduciary or advisory capacity toward any user. Using the Service does not create an advisory, fiduciary, or agency relationship between you and Ignacius Holdings LLC.
If you connect a brokerage account to the Service, that connection is read-only account data used to populate your own view of your own positions. LEADR does not place trades, does not have the ability to move funds, and does not act as an intermediary between you and your broker.
All investing carries risk, including the risk of losing your entire principal. Prices of equities and other instruments can be volatile and can move against a position quickly and without warning. Nothing in the Service eliminates, reduces, or hedges this risk — it presents data about it.
HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. Also, because the trades have not actually been executed, the results may under- or over-compensate for the impact, if any, of certain market factors such as liquidity and slippage. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
A performance figure the Service calculates from a backtest, a scoring history, or any other simulated or modeled dataset is hypothetical: it is derived from historical data, not from trades you placed, and does not account for execution, commissions, fees, slippage, taxes, or the behavioral factors present in live trading.
Figures the Journal calculates from trades you have recorded there — win rate, expectancy, average R-multiple, drawdown, profit factor — are different in kind: they describe your own trading record, computed from the entry and exit prices carried on the trades you recorded, and they are not a simulation. They are still limited: they reflect only what you recorded and how accurately you recorded it, they exclude commissions, fees, financing costs, and taxes unless you enter those yourself, and any statistic drawn from a small number of closed trades is unreliable regardless of how precisely it is displayed. Past performance — of any strategy, ticker, indicator, scoring model, or of your own trading record — is not indicative of, and does not guarantee, future results.
Scoring models and analytics. The Service's scores, grades, screens, and rankings — including the Confluence grade and its component signals — are outputs of proprietary models built and maintained by us. They have not been audited, verified, or validated by any third party, and no regulator has reviewed or approved them. We change these models over time; a score shown today may reflect a different methodology than one shown previously for the same security, and figures the Service stores at the time of a trade reflect the model version in effect then. Nothing in the Service is a representation that a score has predictive value or that a higher score produces better outcomes. Where the Service compares your own recorded results across score tiers, signals, or position sizes, or characterizes your trading as showing an "edge," those are descriptive statistics computed from a small number of your own past trades. They are not statistical proof of an edge, not evidence that our scoring model works, and can reverse entirely as you record more trades.
AI-generated content in the Service — including pre-market briefs, analytical narratives, and any other automatically generated summary text — is produced by automated systems trained on patterns in data, not by a licensed analyst evaluating your circumstances. It can be incomplete, outdated, or wrong, including in ways that sound confident and specific. Do not treat AI-generated content as verified fact, and do not use it as the sole basis for any investment decision. Where the Service labels a feature "Beta," "Preview," or similar, its outputs carry a materially higher chance of error — see our Terms of Service for how beta features are governed.
LEADR aggregates market data, filings, and derived analytics from licensed third-party data providers. We do not independently verify every data point these providers deliver, and we make no warranty that any figure, chart, score, or data feed displayed in the Service is accurate, complete, timely, or free of errors, gaps, or provider-side outages. Different data categories update on different schedules; a number that looks current may reflect the most recent successful refresh rather than the live market. Always verify any figure that matters to a decision against a primary source before acting on it.
You are solely responsible for evaluating the merits and risks associated with any use of the Service and for any investment decision you make, whether or not informed by the Service. Ignacius Holdings LLC disclaims all liability for any trading or investment loss, lost profit, or other damage arising from your use of, or reliance on, the Service, to the fullest extent permitted by law and as further limited in our Terms of Service (Limitation of Liability).

No feature of the Service — including any pricing tier, any scoring model, or any "Elite"-branded feature set — guarantees a profit or protects against a loss. Subscribing to a higher tier changes what data and tools you can see; it does not change market risk. Subscription fees are billed for access to the Service, not for investment results, and are non-refundable on that basis — see Terms of Service §6.
The Service is offered for informational and educational purposes to individuals for whom such use is lawful in their jurisdiction. We make no representation that the Service, or any data within it, is appropriate or available for use in every jurisdiction. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local law, including any local restriction on receiving financial data or analytics of this kind.
We may update this Risk Disclosure as the Service's features change — for example, when a new data category or analytical tool is added. When we make a material change we will update the effective date above, and continued use of the Service after an update takes effect constitutes your acceptance of the revised disclosure. Because this page describes risks rather than contract terms, changes to it take effect on the updated effective date; the 14-day notice commitment in our Terms of Service (Section 19) applies to changes to the Terms of Service themselves.
